Terms of Service (AGB)

Merchant of Record Disclosure: Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

1. Scope and Definitions

These Terms of Service (AGB) govern the use of npass.io, a cloud-based Network Access Control (NAC) service provided by NETCUBE Inc. By accessing or using npass.io, you agree to be bound by these terms. If you do not agree to these terms, do not use our service.

Definitions:

Service: The npass.io platform, including all features, functionality, and documentation.
User: Any individual or organization accessing or using the Service.
Account: Your registered account on the Service.
Content: Any data, information, or material you provide or create through the Service.
Confidential Information: Non-public information disclosed by either party.

2. Service Description

npass.io is a cloud-based Network Access Control solution designed to manage device authentication, authorization, and network access. The Service includes:

Device registration and management
Network access policies and enforcement
Authentication and authorization services
Audit logging and compliance reporting
API access for integrations
User and administrator dashboard

The Service is provided "as is" with no guarantees of specific functionality. We reserve the right to modify or discontinue features with 30 days' notice.

3. Account Registration and Responsibilities

3.1 Account Creation

To use npass.io, you must create an account by providing accurate and complete information. You are responsible for:

Maintaining the confidentiality of your account credentials
Notifying us immediately of unauthorized access
All activities that occur under your account
Ensuring you are authorized to accept these terms on behalf of your organization

3.2 Age and Eligibility

You must be at least 18 years old to use npass.io. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms.

4. Subscription Terms and Billing

Billing and payment processing is handled by Paddle.com, our Merchant of Record. For subscription terms, billing cycles, and payment details, please see our Subscription Terms.

All subscription fees are calculated and billed by Paddle based on your selected plan and number of users. Taxes and VAT are calculated by Paddle according to your location.

5. Service Level Agreement

We commit to maintaining 99.9% uptime for the npass.io service, measured monthly. This excludes:

Scheduled maintenance (notified 48 hours in advance)
Unschedulable emergencies beyond reasonable control
Issues caused by your network or systems
Denial-of-service attacks or other malicious activity

If uptime falls below 99.9% in a month, service credits may apply. Contact support for details.

6. User Obligations and Acceptable Use

You agree to use npass.io only for lawful purposes and in compliance with all applicable laws. Prohibited activities include:

Attempting to gain unauthorized access to the Service or other accounts
Reverse engineering, decompiling, or attempting to derive source code
Using automated tools or scripts without written permission
Attacking the Service with malware, viruses, or denial-of-service attacks
Exfiltrating data or attempting to steal confidential information
Using the Service to violate others' privacy, intellectual property, or legal rights
Spam, harassment, or abusive conduct

We may suspend or terminate your account immediately if you violate these obligations.

7. Intellectual Property

You retain all rights to Content you create and upload to the Service. You grant us a non-exclusive, worldwide, royalty-free license to use your Content solely to provide and improve the Service.

All npass.io materials, including software, documentation, and designs, are the exclusive property of NETCUBE Inc. or its licensors. You have no rights to these materials except as expressly granted in these terms.

8. Data Protection

Your use of npass.io is subject to our Privacy Policy and Data Processing Agreement. For details on how we collect, use, and protect your data, please review these documents.

9. Limitation of Liability

To the maximum extent permitted by German law, neither NETCUBE Inc. nor its officers, employees, or agents shall be liable for:

Indirect, incidental, consequential, special, or punitive damages
Loss of profits, revenue, data, or business opportunities
Damage to reputation or business relationships

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim. This limitation does not apply to claims for personal injury, death, or fraud.

10. Warranty Exclusions

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT:

The Service will be uninterrupted or error-free
Defects will be corrected
The Service is free from malware or security vulnerabilities

11. Term and Termination

11.1 Term

These terms commence when you accept them and continue for as long as you use the Service. Subscription terms are specified in the Subscription Terms.

11.2 Termination by You

You may cancel your subscription at any time through your dashboard or by contacting support. Your access will end at the end of your current billing period.

11.3 Termination by Us

We may suspend or terminate your account if:

You violate these terms or applicable laws
You infringe intellectual property rights
You breach your payment obligations (after 30 days' notice)
Your conduct is harmful to the Service or other users

Upon termination, your access ends immediately and we may delete your data after 90 days.

12. Governing Law and Jurisdiction

These terms are governed by and construed in accordance with the laws of Germany, without regard to its conflict of law principles. The parties irrevocably submit to the exclusive jurisdiction of the courts of Berlin, Germany.

13. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. Changes to These Terms

We may modify these terms at any time. Material changes will be communicated to you via email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Service after the change date constitutes your acceptance of the new terms.

Note on Language: These Terms of Service are provided in English. A German version (AGB) is available upon request. In case of any discrepancy between the English and German versions, the German version shall prevail for legal interpretation purposes.
